Terms of Service
1. Who we are
The taime service (the "Service") is operated by R2S, s.r.o., IČO 28130936, with registered seat at Vrbenská 2044/6, České Budějovice 5, 370 01 České Budějovice, Czech Republic, registered in the Commercial Register kept by the Regional Court in České Budějovice, file C 19084 ("we", "us", "Operator").

2. Acceptance of terms
By creating an account, uploading data, or initiating an optimization, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
These Terms form a contract under §1751 of Act No. 89/2012 Coll. (Czech Civil Code). For consumers, additional rights under Act No. 634/1992 Coll. (Consumer Protection) apply and are not waived by these Terms.
3. The service
taime is a software-as-a-service platform that takes raw timesheet data uploaded by you and uses large-language-model technology to produce a polished, professional version intended for client reporting and invoicing. Specifically, we:
- Accept CSV/XLSX timesheet uploads or API submissions.
- Round, paraphrase, and (subject to your protocol settings) fill gaps in the time log.
- Return the optimized output to you in the application, by export, or via API.
The Service is a formatting and rewriting tool. It does not provide legal, accounting, or tax advice and is not a system of record for payroll or billing.
4. Your account
- You must be at least 18 years old or the age of legal majority in your jurisdiction.
- You are responsible for maintaining the confidentiality of your credentials and any API keys you generate.
- You agree to provide accurate, current information and to keep it up to date.
- One natural person or legal entity per account, unless we have agreed otherwise in writing.
5. Acceptable use
You agree not to:
- Use the Service to commit fraud, breach contractual obligations to a third party, or violate labor, tax, or invoicing laws.
- Upload content that is unlawful, infringes intellectual-property rights, contains malware, or includes another person's personal data without a lawful basis.
- Reverse-engineer, scrape, or attempt to extract our prompts, models, or proprietary algorithms.
- Resell or sublicense access to the Service without our prior written consent.
- Bypass usage quotas, rate limits, or authentication mechanisms.
We may suspend or terminate access to any account that violates this section without refund.
6. Your data and content
You retain all rights to data you upload ("User Content"). You grant us a limited, non-exclusive licence to process, store, and transform User Content solely to operate, secure, and improve the Service for you. We do not use User Content to train third-party models. See the Privacy Policy for detail on processors and retention.
7. AI-generated output and your responsibility
The Service uses third-party large language models that may produce inaccurate, inconsistent, or fabricated output. You acknowledge and agree:
- You must verify every output before submitting it to a client, employer, or tax authority.
- The Operator is not a party to any contract between you and your clients, employers, or counterparties, and bears no responsibility for downstream disputes or rejected invoices.
- AI output is a suggestion; the legal accuracy of your timesheets is your responsibility.
8. Subscriptions, fees, and refunds
- Subscription fees are stated in the application at the time of purchase, in EUR or CZK, exclusive of VAT where applicable.
- Subscriptions auto-renew at the end of each billing cycle until cancelled.
- You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing cycle.
- Consumers in the EU have a 14-day right of withdrawal under Section 1829 of the Czech Civil Code. By starting to use the Service before the withdrawal period ends and explicitly consenting in the application, you acknowledge that you lose this right once we begin to provide the digital service to you (Section 1837(l) of the Czech Civil Code).
- We do not refund for partial months unless required by mandatory law.
9. Positive ROI guarantee
For your first paid month: if the Service does not generate additional billable value exceeding your subscription fee, contact us within 30 days of the charge and we will refund 100%. The guarantee applies only to a single user's first paid month, requires good-faith use of the Service, and is at our reasonable discretion to verify.
10. Service availability
We aim for 99% monthly uptime but do not warrant uninterrupted availability. Planned maintenance, third-party outages (Supabase, OpenAI, Vercel, and similar), and force majeure events are excluded. Where the Service is materially unavailable for more than 72 consecutive hours in a billing cycle, we will, on request, credit a pro-rated portion of that cycle's subscription fee.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or loss of business reputation, whether in contract, tort, or any other legal theory.
Nothing in these Terms limits liability that cannot be limited under Czech law (notably gross negligence, wilful misconduct, and statutory consumer rights).
12. Termination
We may suspend or terminate your access if you breach these Terms, if required by law, or if continued operation poses a security or financial risk. You may close your account at any time. On termination, we will delete or anonymise your data per the schedule in the Privacy Policy.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be announced at least 14 days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance. If you do not accept the updated Terms, you may cancel before they take effect.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Czech Republic, excluding rules on the conflict of laws. The exclusive forum for disputes is the competent court at the Operator's registered seat, save where mandatory law requires otherwise.
For consumer disputes, out-of-court settlement is available through the Czech Trade Inspection Authority (www.coi.cz), or via the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
